Terms of Use

1. Purpose and Legal Status

These Terms of Use (the "Terms") govern access to and use of the technology platforms, interfaces, dashboards, websites, and execution-related software tools (collectively, the "Platform") made available within the Polar Tensor™ group.

These Terms apply solely to the use of technology and execution interfaces and do not replace or override any applicable customer agreements governing custody, payments, or client relationships with licensed entities.

By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Parties and Scope

The Platform is operated and made available by the following entities, acting strictly within their respective roles:

Polar Tensor™ Corp. – operation of execution technology and automated trading infrastructure
Polar Tensor™ US LLC – client-facing access for U.S. and non-EU users
Polar Tensor™ Europe SP ZOO – client-facing access for EU users

Access rights and functionality may vary depending on jurisdiction and regulatory status.

3. Nature of the Platform

The Platform provides technology-enabled, execution-only functionality, including:

access to automated execution tools;
display of account-related information;
initiation of execution processes following explicit user instruction; and
technical connectivity to third-party execution venues.

The Platform does not provide investment advice, discretionary portfolio management, or personalised recommendations.

4. Eligibility and Access

You may access and use the Platform only if:

you have been validly onboarded by the applicable licensed entity;
you meet all legal eligibility requirements in your jurisdiction; and
your access has not been suspended or terminated.

The group reserves the right to restrict or deny access where required by law, regulation, or compliance obligations.

5. User Control and Activation

Automated execution functionality:

is inactive by default;
requires explicit, manual user activation; and
may be deactivated by the user at any time, subject to technical processing constraints.

No execution occurs without user initiation.

6. Execution-Only Character

All execution performed through the Platform:

is non-discretionary;
follows predefined system logic;
is not tailored to individual users; and
is limited to spot crypto-asset transactions.

No fiduciary, advisory, or discretionary relationship is created by use of the Platform.

7. User Obligations

You agree to:

use the Platform only for lawful purposes;
comply with all applicable laws and regulations;
maintain the confidentiality of access credentials;
monitor activity associated with your account; and
promptly notify the applicable entity of any unauthorised access or security concern.

8. Prohibited Conduct

You must not:

misuse or interfere with the Platform or its operation;
attempt unauthorised access to systems or data;
reverse engineer or circumvent technical safeguards;
use the Platform for illegal or abusive purposes; or
engage in conduct that may harm the integrity or security of the Platform.

9. Availability and Modifications

The Platform is provided on an "as is" and "as available" basis.

The group may:

modify, suspend, or discontinue features;
perform maintenance or updates; or
restrict access where required for legal, technical, or security reasons.

No guarantee of uninterrupted availability is provided.

10. Third-Party Services

The Platform may integrate or connect with third-party services, including execution venues and infrastructure providers.

The group does not control such third parties and is not responsible for their actions, availability, or performance.

11. Limitation of Liability

To the maximum extent permitted by law:

no liability is accepted for losses arising from market movements, execution delays, system outages, or third-party failures;
no liability is accepted for indirect or consequential damages; and
liability is limited as provided in the applicable customer agreement.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Intellectual Property

All intellectual property associated with the Platform remains the property of the Polar Tensor™ group or its licensors.

Use of the Platform does not transfer any ownership or intellectual property rights.

13. Suspension and Termination

Access to the Platform may be suspended or terminated:

for breach of these Terms;
where required by law or regulation;
for security or compliance reasons; or
upon termination of the underlying customer relationship.

14. Governing Law and Jurisdiction

These Terms are governed by the laws specified in the applicable customer agreement, without prejudice to mandatory consumer protection laws.

15. Amendments

These Terms may be updated from time to time.

Continued use of the Platform constitutes acceptance of the most current version.
